Jason Chin Picture




Jason W. Chin

Managing Partner




Jason Chin has over 26 years of legal and business experience and is the founder of Pacific Venture Law Partners. Previously, he was General Counsel and Director of Strategic Development at Ask Dr. Tech, Inc., a consumer tech portal providing online/offline computer and software technology support and content medias. From start-up to product launch, he was the legal affairs officer for all business, corporate, employment, intellectual property and technology issues. In addition, he was responsible for strategic development with the business development team on content, sales, distribution, and revenue sharing deals to create alternative revenue streams and enhance market positioning in the computer and software tech support and media space. 

For many years, Mr. Chin was in a private practice representing a variety of small and multi-million dollar businesses and their owners and executive professionals in their business and personal affairs. He was also the founding partner of Sawamura Chin Nishimi & Chu, a successful seven-attorney law firm that practiced in the areas of commercial and business law, real estate transactions, estate planning and litigation. Mr. Chin has represented a diverse group of private and institutional clients, including several loan divisions of major national banks and financial institutions such as Bank of America, Wells Fargo, Bank of California, and smaller banks and leasing companies as creditors' counsel in bankruptcy and reorganization matters, real estate law and commercial litigation. He has also established an extensive practice representing high net worth families in their discrete personal and business dealings, family wealth transfers, trust administration, and estate and financial planning for cross-border businesses and families. 

Mr. Chin received his J.D. from UCLA School of Law in Los Angeles, CA, and his B.A. from Clark University in Worcester, MA. He is a member of the State Bar of California and the U.S. Federal District Court for all districts in California. He is also admitted to practice before the California Court of Appeal and the U.S. Court of Appeals for the 9th Circuit. His professional licenses also includes a FINRA Series 7, 63 & 65 investment advisor and CA Insurance license. He has extensive business related travel to Asia (HK, China, Singapore), is conversant in Cantonese and open to overseas special projects.

Ray Choi Picture




Ray H. Choi
Attorney




Ray Choi has extensive general business litigation experience in state and Federal court representing small businesses and entrepreneurs. He also represents a multitude of Korean inbound and local businesses in commercial transactions and investment deals.  


Based on his experience prior to joining PVLP, Ray brings both transactional knowledge and litigation know-how to the firm, civil and criminal.  For a number of years, Ray was an associate litigation counsel at Cannatta, Ching & O’Toole LLP, a small litigation firm in San Francisco, CA that specializes in representing both plaintiffs and defendants in business, real estate, commercial and environmental litigation matters.  During law school, Ray worked for Brown & Gould, LLP, a boutique litigation firm in Bethesda, MD, and also clerked for the Honorable Alexander Williams, Jr. of the US District Court in the District of Maryland.  Prior to law school, Ray along with Richard Tay helped form a non-profit academic enrichment organization and taught English in Russia and Uzbekistan. 


Ray received his J.D. from Georgetown University Law Center and his B.A. from UC Berkeley.  He is a member of the State Bar of California and is admitted in the Northern District of the United States District Court.

Richard I. Tay

Attorney




Richard Tay has extensive experience representing and advising individuals and companies in a variety of financial and tax matters.  He represents clients before the IRS, Franchise Tax Board, State Board of Equalization, and other taxing authorities and advises on a wide variety of tax matters.  He also advises start-ups and established companies regarding corporate structure, employment compensation, and employee classification.

Prior to joining PVLP, Richard was a tax attorney for Wood & Porter, a sophisticated boutique tax firm in San Francisco. Richard graduated from the University of Californa, Berkeley and University of California, Hastings College of the Law. In law school, Richard received the CALI/Witkin Excellence for the Future Award in his Mass Justice Seminar and Honorable Mention awards in Moot Court.  He also completed the Tax Concentration and was an editor of the Hastings International and Comparative Law Review. Prior to law school, he helped form an academic enrichment organization and taught English in Uzbekistan.

Richard is a member of the State Bar of California and is admitted in the Northern District of the United States District Court and the United States Tax Court.

Douglas S. Chan

Of Counsel



Douglas Chan brings 30 year of practice experience to the firm in the areas of Business and Corporate Law, Real Estate, Banking, Finance, and Probate.

In the arena of high end Business and Corporate Law, he advises startup businesses and nonprofit clients on corporate, partnership, real property, nonpublic securities offerings, product licensing and distribution, credit management, purchasing, intellectual property licensing and protection, employment matters, acquisitions or mergers, and the formation of offshore subsidiaries and affiliated companies. Mr. Chan is counsel to computer engineering and service firms, Internet service providers, advertising, construction services and supply, food production, printing, real estate brokerage, software design, and trading companies.

In Finance and Banking, Mr. Chan is Counsel to investment advisory and management firms operating in
Hong Kong, Indonesia and Singapore. His bank practice includes drafting commercial loan agreements, letters of credit, reimbursement agreements, loan participation agreements, stock offerings, circulars, warrant agreements, and incentive stock option plans for foreign and state-chartered banks. He conducts negotiation and documentation for major commercial secured credit transactions.

In his Real Estate practice, Mr. Chan prepares documentation and negotiates commercial and residential property purchases, sales, leases, development & disposition agreements for public entities, construction finance documentation, and workouts.  Mr. Chan’s Estate and Probate practice includes representing executors and other fiduciaries in various probate proceedings and transactions, including continuation and sale of decedents' businesses, and real property sales.

Mr. Chan was the Founding Partner of Chan . Doi . Leal LLP
San Francisco, California. He was also a Principal of Nichols, Doi, Rapaport & Chan.  Previously, he served as a Legislative Aide for the Office of U.S. Senator Alan Cranston, Washington, D.C., and was the Community Liaison to the San Francisco Human Rights Commission.

Mr. Chan received his J.D. from the University of California, Davis, 1981, and his B.A. from Stanford University, 1976. He is a member of the State Bar of California, the U.S. District Courts for the Northern and Central Districts of California and the U.S. Court of Appeals for the Ninth Circuit. Mr. Chan is a “A-V” Recipient, rating (highest) from the Martindale-Hubbell Rating System
